Who we are:

Confidential newly-formed Asheville, North Carolina based healthcare real estate investment trust “REIT” holding and management company seeks experienced transactional lawyer to serve as its General Counsel. This REIT is operated by an experienced team that includes a Founder/CEO who has previously taken two healthcare REIT’s public successfully on NYSE. This REIT is currently a private company but it is management’s intention of executing on an initial public offering in the near future.

The General Counsel position:

REIT seeks a talented and flexible attorney to join our full-time executive leadership team. REIT’s General Counsel will advise the company on a range of corporate transactions and strategic initiatives. Candidates must have the ability to operate independently and work proactively/creatively with members of company management, outside counsels, client management, investment bankers, lenders and capital advisors, and our investors.

General Counsel Responsibilities:

• Draft, review and negotiate transactional agreements pertaining to the acquisition of and investment in operating real estate properties and multi-property portfolios, with a particular emphasis on the sale/leaseback and other type capital investment transactions of owner-occupied healthcare facilities nationwide.
• Review and analyze Securities and Exchange Commission “SEC” filings.
• Review, analyze and negotiate equity capital and lending arrangements.
• Participate in due diligence matters, transaction/investment approval process, and investor/bank presentations.
• Advise the business and executive team on legal matters affecting the REIT.
• Coordinate with outside counsel to protect and maintain intellectual property.
• Coordinate with outside counsel to prepare and file SEC materials.
• Review and revise corporate and organizational documents.
• Ensure compliance of REIT’s efforts with relevant regulations and statutes.

General Counsel Education & Experience Required:

• Juris Doctor (JD) degree from an American Bar Association accredited law school required.
• Current member in good standing with a minimum of one US Bar.
• Minimum 5-7 years of in-house or private counsel experience.
• Strong knowledge of Corporate Law principles
• Legally eligible to work in the United States.

General Counsel Skills & Competencies:

• Accountability, adaptability, communication, and integrity.
• Specific and technical knowledge of corporate and contracts law including SEC, capital partnership, and real estate contracts is strongly preferred.
• Experience in managing litigation.
• Ability to prioritize, multi-task and work effectively both independently and as part of a team.
• Excellent social and organizational skills.
• Goal driven with a high level of integrity and morality.
• Ability to regularly exercise independent discretion and discernment within defined policies.
